Welcome to Nova Sourcing. These Terms and Conditions govern your use of our website and services. Please read them carefully before placing an order or engaging our services.
1. Acceptance of Terms
By accessing and using the Nova Sourcing website and services, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services
Nova Sourcing provides end-to-end apparel manufacturing services including fabric sourcing, dyeing, printing, embroidery, pattern making, cutting, stitching, quality inspection, packaging, and worldwide delivery. All services are subject to availability and mutual agreement on specifications.
3. Orders & Quotations
All quotations provided by Nova Sourcing are valid for 30 days unless otherwise stated. Orders are only confirmed upon written acceptance and receipt of the agreed deposit. Prices are subject to change based on fabric availability and market conditions.
4. Sampling
Sample development fees are charged separately and are non-refundable. Sample approval by the client constitutes acceptance of quality, fit, and construction standards for bulk production. Any changes after sample approval may incur additional charges.
5. Production Lead Times
Standard production lead time is 25–35 days from sample approval and deposit receipt. Rush orders may be accommodated subject to additional fees. Nova Sourcing is not liable for delays caused by force majeure events, including but not limited to natural disasters, pandemics, or government restrictions.
6. Payment Terms
Payment terms are as agreed in the proforma invoice. Typically, 50% advance is required upon order confirmation, with the remaining 50% due before shipment. Late payments may incur a 2% monthly interest charge.
7. Quality Control
Nova Sourcing follows strict quality control procedures at every stage of production. Final inspection is conducted using AQL (Acceptable Quality Level) standards. Claims for defective goods must be raised within 7 days of delivery with photographic evidence.
8. Intellectual Property
All designs, patterns, and technical specifications provided by the client remain the intellectual property of the client. Nova Sourcing will not reproduce or share any client designs with third parties without explicit written consent.
9. Shipping & Delivery
Shipping terms are based on the agreed Incoterms (FOB, CIF, DDP, etc.). Nova Sourcing partners with reputable logistics providers but is not responsible for delays caused by customs clearance, port congestion, or carrier issues.
10. Limitation of Liability
Nova Sourcing's total liability shall not exceed the total value of the order in question. We are not liable for indirect, incidental, or consequential damages including loss of profit or business interruption.
11. Privacy & Confidentiality
All client information, designs, and business data are treated with strict confidentiality. We do not disclose, sell, or share any client information with third parties. Our privacy practices comply with applicable data protection regulations.
12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through negotiation first, and if unresolved, through binding arbitration.
